Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of Hotline UGC (the "Service"), operated by Reedys Agency ("we", "us", or "our"). By creating an account, accessing the Service, or using any feature of the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Description of Service

The Service provides workspaces for brands and creators to collaborate on user-generated advertising content. Typical functionality includes uploading and approving creator content, syncing advertising performance data from connected advertising accounts, calculating performance-based creator royalties, making payouts, and providing research tools such as saved-ad boards, feeds, and discovery views.

3. Eligibility & Accounts

You must be at least 18 years old and capable of forming a legally binding contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate information and to update it as it changes.

4. Roles

Each workspace has Brands (owners, admins, members) and Creators. A single user may hold different roles in different workspaces. Brand-side users are responsible for the content they upload or approve, for the advertising campaigns they run using their own third-party ad accounts, and for complying with the policies of any third-party platform they connect.

5. User Content

"User Content" means any content you upload, submit, save, post, link to, or otherwise make available through the Service, including but not limited to creator videos, images, notes, tags, messages, saved ads added to boards, and ads imported via the Service's research tools.

You are solely responsible for your User Content and for ensuring that you have all rights necessary to make it available through the Service. You represent and warrant that your User Content does not infringe the intellectual property, privacy, publicity, or other rights of any third party and does not violate any law.

By making User Content available through the Service, you grant us a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, modify (for technical purposes such as resizing), transmit, and display that content solely for the purposes of operating, providing, improving, and securing the Service. This licence ends when the User Content is deleted, except for backups retained as necessary for a reasonable period.

Specifically with respect to saved ads, board entries, and any other research material sourced from publicly available advertising libraries, galleries, or similar public sources: such material is User Content that you have chosen to save for your own research and reference. We do not originate, publish, endorse, or verify this material, and we make no representation that it is accurate, complete, current, or appropriate for any particular purpose. You are responsible for your use of such material and for complying with any third-party terms that may apply to it.

6. Third-Party Integrations

The Service may allow you to connect third-party accounts (such as advertising, payment, or authentication providers) and may retrieve data from those accounts on your behalf based on the permissions you grant. Your use of any third-party service is governed by that third party's own terms and policies. You are responsible for the configuration, permissions, and compliance obligations of any third-party account you connect.

You may disconnect any connected third-party account from within the Service at any time. Disconnecting will revoke the Service's access token and clear associated identifiers. You may additionally choose to delete the historical data retrieved through that integration.

7. Performance-Based Payments

Creators may earn royalties calculated based on the performance of content they produced, according to royalty terms configured by each Brand workspace. Payouts are processed through third-party payment processors (e.g. Stripe Connect). A platform fee may be deducted from each payout as disclosed in-product. We are not a bank and do not hold customer funds on your behalf. Timing of payouts, currency conversion, and minimum thresholds are subject to the processor's own rules. Taxes arising from earnings are your sole responsibility.

8. Acceptable Use

You agree that you will not:

  • Use the Service for any unlawful, infringing, harmful, or fraudulent purpose;
  • Upload, submit, or save User Content that you do not have the rights to share, or that infringes any intellectual property, privacy, or publicity right;
  • Manipulate, falsify, or misrepresent advertising performance data, earnings, or other reporting;
  • Attempt to gain unauthorised access to the Service, other accounts, or underlying infrastructure;
  • Use automated means (bots, scrapers, crawlers) to access or copy data from the Service;
  • Reverse engineer, decompile, or attempt to extract source code from the Service, except to the extent permitted by law;
  • Use the Service to store, send, or transmit malicious code, spam, or unlawful content.

9. Intellectual Property

The Service, including all software, design, user interfaces, and documentation, is owned by us and our licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service in accordance with these Terms. All rights not expressly granted are reserved. You retain ownership of your User Content.

10. Concerns About Material

If you believe that material made available through the Service infringes your rights or otherwise breaches these Terms, please contact us at support@hotlineugc.com. We will review concerns submitted in good faith and may remove or restrict access to material in our sole discretion.

11. Suspension and Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for violations of these Terms, for legal or security reasons, or for any other reason in our reasonable discretion. You may stop using the Service at any time. Upon termination, we will process any pending payouts in accordance with applicable processor rules, subject to lawful holds.

12. Disclaimer of Warranties

THE SERVICE AND ALL CONTENT MADE AVAILABLE THROUGH IT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; THAT ANY CONTENT OR FEATURE WILL REMAIN AVAILABLE; OR THAT THIRD-PARTY DATA DISPLAYED THROUGH THE SERVICE WILL BE ACCURATE, COMPLETE, OR CURRENT.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE, OUR AFFILIATES, OR OUR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (a) THE AMOUNTS PAID BY YOU TO US FOR THE SERVICE IN THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (b) ONE HUNDRED AUSTRALIAN DOLLARS (A$100).

14. Indemnification

You agree to indemnify, defend, and hold harmless us and our affiliates, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to (i) your User Content, (ii) your use of the Service, (iii) your violation of these Terms, or (iv) your violation of any third-party right, including intellectual property, privacy, or publicity rights.

15. Changes to the Service and Terms

We may modify the Service or these Terms at any time. We will post the updated Terms with a new "Last updated" date and, for material changes, provide reasonable notice through the Service or by email. Your continued use of the Service after the effective date of revised Terms constitutes acceptance of those Terms.

16. Governing Law

These Terms are governed by the laws of New South Wales, Australia, without regard to conflict-of-law principles. The courts of New South Wales will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and the parties consent to the personal jurisdiction of those courts.

17. Miscellaneous

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us with respect to the Service. If any provision is held to be unenforceable, the remaining provisions remain in effect. Our failure to enforce any right is not a waiver of that right. You may not assign or transfer these Terms without our prior written consent.
